Terms and Conditions of Sale

1. Identification of the Seller

These Terms and Conditions of Sale (the "Terms of Sale") govern the purchase of products through the online store integrated into the official website relating to Carlos Sainz (the "Website").

The seller and contracting party is SAIVA MANAGEMENT, S.L. ("SAIVA"), with Spanish tax identification number (NIF) B88091640 and registered office at Calle Bruselas, 3, 28232 Las Rozas de Madrid (Madrid), Spain. For order and after-sales enquiries, customers may contact support@carlossainz.es.

SAIVA may rely on technology, payment, warehousing, logistics and transport providers to perform the contract, without this changing its status as seller vis-à-vis consumers where applicable.

2. Purpose, Scope and Definitions

These Terms of Sale set out the rights and obligations applicable to the selection, purchase, payment, preparation, shipping, delivery, withdrawal, returns, lack of conformity, warranty and after-sales support relating to products offered by SAIVA through the online store.

For these purposes, "Customer" means the individual or legal entity placing an order; "Consumer" means a customer acting for purposes outside their trade, business, craft or profession and any other person granted consumer status under applicable law; "Product" includes the goods identified in the online catalogue, including clothing, equipment, accessories, posters, replicas, signed pieces, collectibles, limited editions, Vault products and any other items added by SAIVA to the Website; and "Order" means the purchase request submitted electronically by the Customer.

Experiences, events, clubs, memberships, promotions or services that may be introduced at a later stage will be subject, where appropriate, to specific terms and are not covered by these Terms unless expressly stated.

3. Application and Acceptance of these Terms

Before completing an Order, the Customer will be able to review, save and download these Terms. The purchasing process will require an affirmative action capable of evidencing acceptance and, where applicable, acceptance of any specific terms applying to a particular Product or Order.

The contract includes, as applicable, these Terms, the Product page, the displayed price and currency, applicable taxes and charges, the delivery method and estimated timing, specific pre-order or personalisation terms, and the legally required information provided before purchase.

The Privacy Policy is provided for information purposes. Acceptance of these Terms does not constitute consent to receive marketing communications, which are managed separately where required.

4. Capacity to Contract

The Customer represents that they have sufficient legal capacity to enter into the contract and will provide truthful, complete and up-to-date information. Where acting on behalf of a legal entity or third party, the Customer represents that they are duly authorised to bind that person or entity.

The store is not specifically directed at minors. Persons without sufficient legal capacity must make purchases with the assistance or representation required by applicable law.

5. Territory and Delivery Availability

Purchases and deliveries are limited to the countries, territories, regions and postcodes enabled on the Website and at checkout. The fact that the Website can be accessed from a particular territory does not mean that SAIVA delivers there.

Restrictions based on destination, Product, carrier or delivery method will be displayed before the Customer becomes bound by the Order. If an address cannot be served, the system may prevent checkout or SAIVA will inform the Customer before accepting the Order.

6. Product Information, Characteristics and Safety

SAIVA will seek to present each Product with clear and sufficient information about its essential characteristics, including, where relevant, name, description, images, materials, composition, size, dimensions, condition, authenticity, numbering, safety warnings, manufacturer or responsible economic operator and any other information required by law.

Images are intended to represent Products faithfully, although reasonable differences in colour, scale or appearance may arise from screens, lighting, materials or manufacturing processes. Relevant variations inherent in an artisanal, authentic, previously used or unique item will be described on the Product page where appropriate.

Customers must follow all instructions and warnings. Decorative, display or collectible products must not be used as protective or safety equipment unless the Product page expressly states that they are approved for that purpose.

7. Availability, Stock, Limited Editions and Unique Pieces

Products are subject to availability. Listing a Product in the catalogue does not guarantee that it will remain available until the contract is formed.

SAIVA may apply reasonable unit limits per Customer, address, payment method or Product in order to protect limited editions, prevent fraud or promote fair access. Applicable limits will be shown before purchase where relevant.

A Product being a limited edition, unique piece, signed item, collectible, pre-order or manufactured after the Order does not, by itself, remove the statutory right of withdrawal.

8. Prices, Taxes, Currencies and Charges

The applicable price is the price displayed on the Website when the Order is placed. Before the Customer becomes bound, the total amount payable will be displayed, including taxes that SAIVA is required to charge and any applicable additional costs, particularly shipping charges.

The Website may display prices and accept payments in euros (EUR), US dollars (USD) and Swiss francs (CHF), depending on the market and available configuration. The charging currency will be identified before the purchase is confirmed.

Where the issuer of the selected payment method applies its own currency conversion, fees or exchange rates, those charges are outside SAIVA's control. SAIVA does not currently offer free shipping and there is no order-value threshold that qualifies for free shipping. Applicable shipping charges are calculated according to the zone, destination and available service and are displayed before the Order is confirmed. Any future promotion affecting shipping charges will be expressly disclosed on the Website or at checkout.

Any optional charge will require the Customer's express choice and will not be added through pre-ticked options.

9. Offers, Promotions and Price Reductions

Promotions, discounts and codes are subject to the conditions, dates, Products, territories, units and requirements stated for each promotion. Unless expressly allowed, they cannot be combined, exchanged for cash or applied retrospectively.

Where a price reduction is advertised, SAIVA will display the legally required prior price. Manifest errors, fraudulent use or objective breach of promotional conditions may result in the promotion not being applied before the contract is formed, without prejudice to the Customer's statutory rights.

10. Payment Methods

Enabled payment methods may include Shop Pay, Visa, Mastercard, American Express, Maestro, UnionPay, Apple Pay and Google Pay. Availability may vary depending on country, device, currency, issuer and technical configuration.

Payments are processed using the payment solutions integrated into Shopify and the relevant providers, card networks or wallets for the selected payment method. SAIVA does not store full card numbers or card security codes in its own systems where those data are processed directly by payment providers.

The payment provider or issuer may require strong customer authentication, anti-fraud checks or additional security steps. If payment is not authorised, the Order cannot be completed or accepted.

11. Purchasing Process and Correcting Errors

The purchasing process generally includes selecting Products, reviewing the cart, entering billing and delivery information, selecting shipping and payment methods, reviewing pre-contract information and finally confirming the Order.

Before confirming the Order, the Customer can review and correct the information entered using the tools available at checkout. The final purchase button will clearly indicate that placing the Order entails an obligation to pay.

Under the launch configuration currently planned, customers do not need to create an account or "My Account" area in order to purchase, without prejudice to accelerated payment features offered by the selected payment provider.

12. Contract Formation and Order Confirmation

Submission of an Order by the Customer constitutes an offer to purchase. Following payment authorisation and reasonable automated checks on availability and validity, SAIVA will send an "Order Confirmation" email or equivalent confirmation. The contract is formed when that confirmation is sent to the Customer, unless the message expressly states that it is only an acknowledgement of receipt pending acceptance.

If SAIVA cannot accept an Order before contract formation because of unavailability, delivery restrictions, inability to authorise payment, reasonable suspicion of fraud or a manifest error, SAIVA will inform the Customer and, if a charge has already been made, will refund the relevant amount without undue delay.

13. Languages, Record-Keeping and Contract Documentation

The contract may be concluded in Spanish or English, depending on the language version of the Website used by the Customer. The two versions of these Terms have been prepared to reflect legally equivalent content.

SAIVA will retain an electronic record of the transaction and the version of the terms applicable to the Order for the periods necessary to comply with its legal and contractual obligations. The Customer will receive Order confirmation on a durable medium and may save or print these Terms. A copy of the contractual information may be requested from support@carlossainz.es.

14. Invoices and Receipts

SAIVA will provide the purchase receipt and contractual documentation required by law. Consumers are entitled to receive a paper invoice free of charge when requested. Electronic invoices will be issued where the required consent or other legal basis exists, and any consent may be withdrawn in accordance with applicable rules.

15. 30-Minute Operational Cancellation Window

As an additional convenience, SAIVA may allow customers to request cancellation or amendment of an Order during the first 30 minutes after confirmation, provided the logistics process can still be stopped.

This 30-minute period does not replace, restrict or condition the statutory right of withdrawal or any Customer rights relating to delay, non-delivery, lack of conformity or other mandatory rights. After the first 30 minutes, SAIVA cannot guarantee that the Order can be stopped before dispatch.

16. Preparation, Logistics and Carriers

Warehousing, order preparation, packing, dispatch and physical returns handling are supported by Bigblue acting as a third-party logistics (3PL) provider. Orders are handled from logistics facilities located in Guadalajara, Spain.

Depending on destination and selected service, carriers may include Correos, Correos Express, SEUR, UPS, FedEx and XPO Iberia for certain B2B or palletised shipments, as well as equivalent operators where necessary. Available service levels may include economy/optimum, express/next-day, pick-up point and other options displayed at checkout.

17. Delivery, Timing and Tracking

Before the Order is completed, the available information on estimated preparation, dispatch and delivery for the selected destination will be provided. Unless a date is expressly identified as essential or guaranteed, displayed timeframes are estimates and may be affected by destination, carrier, customs, availability or circumstances outside SAIVA's reasonable control.

Unless the Customer and SAIVA expressly agree a different timeframe, delivery will take place without undue delay and within the maximum period required by applicable law. For pre-orders, the specific timeframe disclosed and accepted before purchase replaces the general rule to the extent permitted by law.

Where tracking is available, SAIVA or the carrier will provide it through the available channels. Customers must ensure that their address and contact details are correct and must respond to reasonable communications necessary for delivery.

18. Mixed Orders and Partial Shipments

An Order may contain both available Products and pre-order Products. For mixed Orders, Products that are in stock will be dispatched first and pre-order Products will be shipped separately once they become available for dispatch.

Before payment, checkout will display one total shipping amount covering the planned shipments for the mixed Order, even if no separate breakdown is shown for each shipment. No additional charge for the second shipment will be added after purchase beyond the total amount accepted by the Customer, unless the Customer later requests and expressly accepts an additional service.

Where multiple Products in the same Order are delivered separately, the statutory withdrawal period for the Order runs from the date on which the Consumer or a third party indicated by the Consumer, other than the carrier, takes physical possession of the last Product, without preventing the Consumer from communicating an earlier decision in relation to goods already received.

19. Pre-Orders

Products identified as "pre-order" are offered before they are available for immediate dispatch. The Product page will state, before purchase, the estimated warehouse dispatch date or period and any other relevant specific conditions.

The pre-order price is collected when the Order is placed. Dates stated for pre-orders are estimated warehouse dispatch dates rather than guaranteed customer delivery dates, unless expressly stated otherwise.

If the estimated dispatch date is delayed, SAIVA will inform the Customer by email. Where the delay gives rise to statutory termination rights, or where the Customer made clear before contracting that a date was essential and SAIVA accepted that condition, the corresponding rights will apply.

Pre-order status, manufacture after ordering or production in batches does not, by itself, remove the right of withdrawal. Withdrawal is excluded only where a genuine statutory exception applies, such as material personalisation according to the Consumer's individual specifications.

20. Delay, Non-Delivery or Unavailability

If a Product cannot be supplied because it is unavailable, SAIVA will inform the Customer and refund the relevant amounts paid without undue delay.

Where delivery is delayed, the Consumer may require SAIVA to perform within an additional period appropriate to the circumstances. If SAIVA still fails to deliver within that period, the Consumer may terminate the contract as provided by law. No additional period is required where SAIVA has refused delivery or where delivery on a specified date is essential under applicable law and the parties' agreement.

21. Passing of Risk

The risk of accidental loss or damage to a Product passes to the Consumer when the Consumer or a third party indicated by the Consumer, other than the carrier, acquires physical possession of the goods. Where the Consumer independently commissions a carrier not offered by SAIVA, the specific statutory rules on passing of risk apply.

22. International Shipping, Customs and Imports

Orders sent to territories with a different tax or customs regime may be subject to controls, restrictions, taxes, customs duties, clearance charges or handling fees. Shopify may calculate applicable customs duties and import taxes by reference to factors including the Product HS code, country of origin and destination country, according to the configuration available at checkout.

Under the configuration communicated as at the date of these Terms, SAIVA offers DDP (Delivered Duty Paid) shipping to Brazil, Japan, Mexico, Saudi Arabia, South Korea, the United Arab Emirates, the United States, the United Kingdom and Switzerland. Where checkout identifies a shipment as DDP, customs duties and import taxes calculated during checkout will be charged or handled as part of the transaction in accordance with the information displayed before payment. For other destinations, customs duties, import taxes, clearance fees or other amounts not collected at checkout are borne by the recipient and may be charged by the relevant authorities or import operators. The specific tax treatment and amounts actually charged for an Order are those displayed before the Customer becomes bound, without prejudice to mandatory tax rules in the destination territory.

23. Statutory Right of Withdrawal

Unless a statutory exception applies, Consumers have fourteen calendar days to withdraw from the purchase without giving any reason and without incurring costs other than those permitted by law.

For sales of goods, the period runs from the day on which the Consumer or a third party indicated by the Consumer, other than the carrier, takes physical possession of the Product. Where multiple goods in the same Order are delivered separately, the period runs from receipt of the last item; where a Product is delivered in multiple lots or pieces, it runs from receipt of the last lot or piece.

If SAIVA fails to provide the legally required withdrawal information correctly, the period will be extended as provided by applicable law.

24. How to Exercise Withdrawal

Before the withdrawal period expires, the Consumer must communicate an unequivocal decision to withdraw. The model withdrawal form available on the Website may be used, but it is not mandatory.

Withdrawal may always be communicated to support@carlossainz.es and, where the country from which the return is being made is currently supported, through the returns portal at returns.bigblue.co/carlossainz. Territorial availability of the portal is a logistics facility and does not restrict any statutory withdrawal right available to the Consumer. The Consumer must provide the information required to identify the Order and Product but is not required to give a reason for withdrawing.

Where withdrawal is submitted through an electronic functionality made available by SAIVA, an acknowledgement will be provided on a durable medium as required by applicable law.

25. Returning Products After Withdrawal

Unless SAIVA offers to collect the Product, the Consumer must return it without undue delay and no later than fourteen calendar days after communicating the decision to withdraw. The deadline is met if the Product is handed to the carrier before that period expires.

For standard returns, the Bigblue portal currently provides a prepaid label or applicable instructions for returns originating in Austria, Belgium, Germany, the United Kingdom, the Czech Republic, Finland, Greece, Hungary, Luxembourg, the Netherlands, Poland, Slovakia, Portugal, Spain, Italy, Ireland and Denmark. If the country from which the return is being made is not supported by the portal, the Consumer must notify support@carlossainz.es and SAIVA will provide a manual return route or appropriate logistics instructions. Any future expansion of portal coverage will be reflected once it is actually operational.

Products should not be sent to SAIVA's registered office or to any other unauthorised address, as this may prevent or delay proper receipt and handling of the return.

26. Return Costs

For change-of-mind withdrawals, the Consumer bears the direct return cost where this was disclosed before purchase. In countries currently supported by the Bigblue portal, SAIVA provides a prepaid label and the direct cost of that label may be deducted from the refund, provided the amount or method used to determine it was clearly disclosed before the contract was concluded. In other countries, SAIVA will communicate the applicable manual route and, where the Consumer is responsible for the direct return cost, the method indicated or agreed with SAIVA must be used to ensure appropriate and traceable return transport.

Any deduction will be limited to the direct return cost and will not operate as a penalty for exercising withdrawal. If SAIVA did not properly inform the Consumer that the Consumer must bear that cost, SAIVA will bear it as required by applicable law.

Necessary costs of returning, collecting, repairing or replacing damaged, incorrect or non-conforming Products will be borne by SAIVA where required by law.

27. Refunds Following Withdrawal

SAIVA will refund all payments received from the Consumer in respect of the withdrawn Product, including the ordinary delivery costs that must legally be reimbursed, without undue delay and in any event within fourteen calendar days after being informed of the decision to withdraw.

Where the Consumer expressly selected a more expensive delivery method than the least expensive ordinary method offered, SAIVA is not required to refund the additional cost of that delivery method.

Unless SAIVA has offered to collect the goods, SAIVA may withhold the refund until it receives the Product or until the Consumer provides sufficient evidence of having sent it back, whichever occurs first.

Refunds will be made using the same payment method used for the initial transaction unless the Consumer expressly agrees to another method that does not result in any cost to the Consumer.

28. Exceptions to the Right of Withdrawal

The right of withdrawal is excluded only where one of the statutory exceptions genuinely applies and the Consumer has been informed before contracting.

In particular, withdrawal may be excluded for goods made to the Consumer's individual specifications or clearly personalised. For this exception to apply, the Consumer's individual choice must be material and decisive to the production or personalisation of the Product.

Choosing a standard size or variant, manufacturing a Product after the Order is received, selling on a pre-order basis, or the fact that an item is unique, signed, limited, valuable or collectible, or that its packaging has been opened, does not by itself remove the right of withdrawal.

Other statutory exceptions may also apply where their requirements are genuinely met, for example certain sealed goods that are not suitable for return for health or hygiene reasons once unsealed.

29. Vault and High-Value Collectibles

Products identified as "Vault" and certain signed, unique, numbered, artistic or high-value collectibles may be subject to a specific return procedure designed to protect the Product in transit and document its condition. This procedure does not remove or restrict the Consumer's statutory rights.

A Consumer wishing to return such a Product may notify SAIVA at support@carlossainz.es or through any other valid unequivocal statement. SAIVA may arrange an individualised, tracked and insured return method appropriate to the nature and value of the Product and may provide specific packing and transport instructions.

SAIVA may document the Product's condition before dispatch and after return by means of photographs, certificates, numbering, tamper-evident measures or other reasonable evidence. Consumers are encouraged to retain and reuse, where reasonably possible, protective packaging, certificates of authenticity, numbered materials and accessories supplied with the item.

Opening packaging or not retaining the original packaging does not automatically remove the right of withdrawal. However, the Consumer is responsible for any diminution in value resulting from handling beyond what is necessary to establish the nature, characteristics or functioning of the Product. Any reduction in the refund on this basis must correspond to a genuine, objective and evidenced loss in value and may not operate as an automatic penalty.

Where return transport requires a special insured service or the item cannot normally be returned by post, SAIVA will disclose the applicable direct return cost or a reasonable estimate before purchase where legally required. That direct cost may be borne by the Consumer in an ordinary withdrawal where the Consumer has been properly informed.

30. Damaged, Incorrect, Incomplete or Non-Conforming Products

If a Product arrives damaged, is incorrect, has missing items or may be non-conforming, the Customer should contact support@carlossainz.es with the Order number and a sufficient description of the issue. SAIVA may request photographs or other information reasonably necessary to assess the case.

Early notification may assist with carrier investigations, but failure to notify immediately does not extinguish the Consumer's statutory rights. These cases are handled separately from change-of-mind withdrawal and the Consumer will not be charged costs that applicable law requires SAIVA to bear.

31. Legal Conformity and Warranty

SAIVA is liable to Consumers for lack of conformity existing at the time of delivery and becoming apparent within three years after delivery of the goods, without prejudice to any more favourable mandatory rights that may apply in another territory.

Subject to the statutory exceptions and unless proven otherwise, a lack of conformity that becomes apparent within two years after delivery is presumed to have existed when the goods were delivered.

A Product is conforming where it meets the applicable subjective and objective requirements, including description, type, quantity, quality, functionality, safety, accessories, instructions and the characteristics a Consumer can reasonably expect.

Any additional commercial guarantee offered does not limit or replace the statutory legal guarantee.

32. Remedies for Lack of Conformity

Where a Product is non-conforming, the Consumer may require it to be brought into conformity by repair or replacement unless one of those remedies is impossible or disproportionate under applicable law.

Repair or replacement will be free of charge to the Consumer, carried out within a reasonable period and without significant inconvenience, and will include necessary shipping, transport, labour and material costs where applicable.

The Consumer may request a proportionate price reduction or termination of the contract in the circumstances provided by law, including where conformity is impossible, has not been properly restored, the lack of conformity reappears or it is sufficiently serious.

Refunds arising from a price reduction or termination will be made without undue delay and in accordance with the statutory timing and payment-method rules.

33. Authentic, Signed, Handmade or Previously Used Pieces

Some Products may incorporate authentic, previously used, signed, numbered, hand-painted or otherwise unique elements. Where relevant, the Product page will identify their nature, provenance, condition, dimensions, variations and included components.

Wear, irregularities, variations or unique characteristics expressly described and legitimately forming part of the offer do not, by themselves, constitute lack of conformity. This does not limit the Consumer's right to claim where the Product differs from the promised description, authenticity, condition or qualities, or the statutory requirements applying to any deviation from objective conformity requirements.

34. Fraud Prevention, Verification and Orders Not Accepted

SAIVA and its payment providers may apply proportionate authentication and fraud-prevention measures. Where there are objective indications of fraudulent use, impersonation, abuse of promotions, unauthorised automation or attempts to circumvent unit limits, SAIVA may request reasonable verification or decline to accept the Order before contract formation.

These measures will be proportionate and may not be used to deprive Consumers of acquired rights under a contract already formed except where permitted by law.

35. Customer Support, Complaints and Claims

For queries concerning Products, Orders, payments, shipping, pre-orders, returns, refunds, lack of conformity or warranties, Customers may contact support@carlossainz.es. Where necessary, Customers should provide the Order number and sufficient information to locate the transaction.

SAIVA will handle complaints in accordance with applicable law and will provide, where appropriate, the information or records needed to document the handling of the matter.

36. Personal Data and Communications

Personal data relating to purchases, payments, shipping, support, returns and warranties is processed in accordance with the Website Privacy Policy.

Communications necessary to perform the Order, including order confirmation, payment, preparation, dispatch, delivery, delays, security, pre-orders, returns or warranty matters, are transactional. Marketing communications are managed separately in accordance with applicable law and the user's preferences.

37. Intellectual Property, Industrial Property and Image Rights

Purchasing a Product does not grant the Customer exploitation rights in trademarks, designs, photographs, content, signatures, names, image rights or other rights belonging to SAIVA, Carlos Sainz or third parties, other than the legitimate use inherent in ownership of the physical item purchased.

Unauthorised reproduction, commercial exploitation or use suggesting false sponsorship, collaboration, licensing or endorsement is prohibited.

38. Force Majeure and Events Outside Reasonable Control

SAIVA is not liable for delay or failure caused by unforeseeable or unavoidable events outside its reasonable control, such as natural disasters, conflicts, decisions of authorities, major transport, customs, energy or telecommunications interruptions, widespread cyber incidents or third-party strikes.

SAIVA will take reasonable steps to mitigate the effects, inform the Customer and resume performance. This clause does not prevent Consumers from exercising any rights available in cases of delay, non-delivery or termination under applicable law.

39. Liability

SAIVA is responsible for performance of its obligations, Product conformity and safety and any other liability that cannot lawfully be excluded or limited.

SAIVA is not liable for damage arising exclusively from use contrary to Product instructions or warnings, unauthorised modifications, incorrect information supplied by the Customer or acts of third parties outside SAIVA's control where those matters are not attributable to SAIVA.

Nothing in these Terms excludes or limits mandatory Consumer rights or any liability that cannot lawfully be excluded or limited.

40. Changes to these Terms

SAIVA may amend these Terms to reflect legal, technical, functional or operational changes. The version applicable to an Order is the version accepted by the Customer when the contract is concluded, unless mandatory law requires otherwise.

Later amendments do not retroactively alter rights acquired under Orders already formed.

41. Severability, Integration and No Waiver

If any provision is held invalid, void or unenforceable, the remaining provisions remain in force. The affected provision will be interpreted or integrated in accordance with mandatory law, good faith and the purpose of the contract, particularly for the benefit of Consumers where required.

Failure to exercise a right immediately does not amount to a waiver unless that waiver is express and valid.

42. Language

These Terms are available in Spanish and English. Both versions have been prepared to reflect legally equivalent content.

If there is an interpretative discrepancy, the Spanish version prevails, without prejudice to mandatory Consumer rights and any law applicable in the Consumer's country of habitual residence where relevant.

43. Governing Law, Jurisdiction and Dispute Resolution

The contract is governed by Spanish law, without prejudice to mandatory rules and rights available to Consumers under the law of their habitual residence where applicable.

Where the Customer is a Consumer, disputes will be submitted to the competent administrative or judicial bodies determined by applicable law, without waiver of mandatory jurisdiction rules. For relationships not subject to mandatory consumer protection rules, and where legally permitted, the parties submit to the courts of Madrid, Spain.

Consumers may use legally available and competent alternative dispute resolution mechanisms for consumer disputes. Information about any specific SAIVA adherence to an alternative dispute resolution entity will be made available on the Website where applicable.
